1. Agreement to Terms
By accessing or using the services provided by Fire3 AI LLC (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
Fire3 AI provides AI-powered chatbot services specifically designed for professional associations. Our services include:
- AI Chatbot Platform: Intelligent chatbots that understand and respond to member inquiries
- Content Processing: Website crawling, document analysis, and video transcription
- Analytics & Insights: AI-powered conversation analytics and member behavior insights
- Multi-tenant Architecture: Secure, isolated environments for each association
- Integration Services: AMS/LMS system integrations and custom API connections
3. Account Registration and Eligibility
3.1 Account Creation
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old to use our services
- You represent that you have the authority to bind your organization to these Terms
3.2 Account Security
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- We are not liable for any loss or damage arising from unauthorized account use
4. Subscription Plans and Pricing
4.1 Available Plans
Trial Plan (Free)
- 1 website, 20 pages, 10 videos, 1 chatbot
- 100 conversations per month
- Basic features only
Starter Plan ($299/month or $3,229/year)
- 3 websites, 1,000 pages, 50 videos, 1 chatbot
- 1,000 conversations per month
- Advanced analytics included
Professional Plan ($799/month or $8,633/year)
- 10 websites, 5,000 pages, 200 videos, 3 chatbots
- 5,000 conversations per month
- Custom branding and advanced analytics
Enterprise Plan ($1,999/month or $21,589/year)
- Unlimited websites, pages, videos, and chatbots
- Unlimited conversations
- All features including SSO, dedicated support, and AMS/LMS integrations
4.2 Pricing and Payment
- All prices are in USD and exclude applicable taxes
- Monthly plans are billed monthly in advance
- Annual plans are billed annually in advance with a 10% discount
- Payment is processed through Stripe
- Prices may change with 30 days’ notice to existing customers
4.3 Usage Limits
- Each plan includes specific usage limits as outlined above
- Exceeding limits may result in service restrictions or additional charges
- Usage is calculated monthly and resets at the beginning of each billing cycle
5. Data and Content
5.1 Your Content
- You retain ownership of all content you upload or provide to us
- You grant us a limited license to process your content to provide our services
- You are responsible for ensuring you have rights to all content you provide
- You represent that your content does not violate any third-party rights
5.2 Data Processing
- We process your content to provide AI chatbot services
- Your data is completely isolated from other customers
- We do not use your data to train public AI models
- We implement industry-standard security measures to protect your data
5.3 Prohibited Content
You may not upload or process content that:
- Violates any applicable laws or regulations
- Infringes on intellectual property rights
- Contains malware, viruses, or harmful code
- Is defamatory, obscene, or offensive
- Violates privacy rights of individuals
6. Service Availability and Support
6.1 Service Level
- We strive to maintain 99.9% uptime for our services
- We may perform scheduled maintenance with advance notice
- We are not liable for service interruptions due to circumstances beyond our control
6.2 Support
- Trial and Starter plans: Email support only
- Professional plan: Email and chat support
- Enterprise plan: Dedicated support with priority response
6.3 Service Modifications
- We may modify or discontinue features with reasonable notice
- We will not materially reduce functionality during your subscription period
- New features may be added at any time
7. Intellectual Property
7.1 Our Intellectual Property
- All rights, title, and interest in our services, software, and technology remain with us
- Our trademarks, logos, and brand elements are our property
- You may not copy, modify, or distribute our software without permission
7.2 Your Intellectual Property
- You retain all rights to your content and intellectual property
- We do not claim ownership of your content
- You grant us necessary licenses to provide our services
8. Privacy and Data Protection
- Our collection and use of personal information is governed by our Privacy Policy
- We comply with applicable data protection laws including GDPR and CCPA
- We implement appropriate technical and organizational measures to protect your data
- You are responsible for ensuring compliance with applicable privacy laws regarding your members’ data
9. Billing and Cancellation
9.1 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- Failed payments may result in service suspension
- You are responsible for all applicable taxes
9.2 Cancellation
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You will retain access to services until the end of your paid period
- No refunds are provided for unused portions of your subscription
9.3 Termination by Us
We may terminate your account immediately if:
- You violate these Terms
- You fail to pay fees when due
- You engage in fraudulent or illegal activities
- We discontinue the service (with reasonable notice)
10. Limitation of Liability
10.1 Disclaimer of Warranties
- Our services are provided “as is” without warranties of any kind
- We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
- We do not warrant that our services will be uninterrupted or error-free
10.2 Limitation of Damages
- Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for any loss of data, profits, or business opportunities
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or data
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of Delaware without regard to conflict of law principles.
12.2 Dispute Resolution Process
- First, contact us at info@fire3.ai to attempt informal resolution
- If informal resolution fails, disputes will be resolved through binding arbitration
- Arbitration will be conducted by a single arbitrator in Delaware
- You waive the right to participate in class action lawsuits
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
13.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
13.4 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control.
13.5 Changes to Terms
We may modify these Terms at any time. Material changes will be communicated with 30 days’ notice. Continued use of our services constitutes acceptance of the modified Terms.
